Board

Number:

The Board of Directors shall consist of not less than three (3) Directors, nor more than seven (7) Directors, as fixed from time to time by the Board of Directors.

Qualifications:

Each Director must have at least five (5) years’ work experience as a Data Analytics Professional and must be a Professional Member of the Corporation

Term:

Except for the initial Directors, whose terms shall be specified in the resolution appointing them, each Director shall serve for a term of three (3) years and until the Director’s successor has been duly elected or appointed, or until his/her earlier death, resignation, or removal. [Upon approval by the Board, the Directors may be divided into three (3) classes; the term of office of those of the first class to expire at the first annual meeting of the Members held after such classification becomes effective; of the second class 1 year thereafter; of the third class 2 years thereafter; and at each annual election held after such classification becomes effective, directors shall be chosen for a full term, as the case may be, to succeed those whose terms expire. The Board may assign Directors already in office to such classes at the time such classification becomes effective.]

Nomination:

Directors shall be(a) nominated by the Board prior to the annual meeting of the Members or any meeting called for the purpose of holding elections and (b) elected by the Members at such meeting.

Qualifications:

Each Executive Officer must be a Professional Member of the Corporation with at least five (5) years’ work experience as a Data Analytics Professional.

Term:

With the exception of the initial officers, whose terms shall be specified in the resolution appointing them, the officers shall hold office for one (1) year and until their respective successors are elected and qualified (subject to the succession provisions for the Executive Officers), or until the officer’s earlier death, resignation, or removal.
